Terms of Use

1. Acceptance of Terms

By accessing, registering, or using the Memsolus platform ("Platform"), you ("User") declare that you have read, understood, and fully agree with these Terms of Use. If you do not agree with any provision, you should not use our services. These terms constitute a binding agreement between you and Memsolus. By using the Platform on behalf of an organization, you declare that you have the authority to bind that organization to these terms.

2. Service Description

Memsolus is a persistent memory platform for artificial intelligence agents that allows storing, organizing, and retrieving information through vector semantic search, knowledge graph, and REST API. The service includes: RESTful API with JWT and API Key authentication; open-source TypeScript SDK; MCP Server for agent integration; management dashboard for memories, settings, and auditing; and natural language processing via AI providers managed by Memsolus. Available features vary according to the contracted plan.

3. User Account

To use the Platform, you must create an account with truthful information and keep it updated. The User is responsible for: maintaining the confidentiality of access credentials, including passwords and API keys; all activities performed on their account or workspace; immediately notifying Memsolus of any unauthorized use. The Platform supports multiple simultaneous sessions per account, with a limit defined for your security. We strongly recommend enabling two-factor authentication (2FA) for additional security. API keys have granular permissions organized by resource — configure only the permissions necessary for each integration.

4. Plans, Limits, and Billing

The Platform offers plans with different limits and features: Free (permanent, no credit card required); Pro (for teams and production projects); Violet Simple (for growing businesses); and Violet Advanced (for enterprise operations). Each plan defines limits for memories, monthly requests, output tokens, members per workspace, and available features (knowledge graph, webhooks, memory pools, templates, advanced auditing, among others). Upon reaching plan limits, the service will be paused until the next billing cycle — your data is never lost. Payments are processed by Stripe, Inc. Subscriptions are automatically renewed at the end of each billing cycle unless the User cancels before the current period ends. Upgrades and downgrades can be made at any time, with proportional calculation for the remaining period. Canceled subscriptions maintain access until the end of the already paid period, with no proportional refund. In case of non-payment, the Platform may suspend access to the service after the due date, while maintaining stored data for the applicable retention period. Memsolus reserves the right to adjust plan prices, with a minimum of 30 days prior notice by email or Platform notification. Unrecognized or fraudulent payment disputes (chargebacks) may result in immediate account suspension until the dispute is resolved.

5. Acceptable Use

The User agrees not to: use the Platform for illegal purposes or contrary to Brazilian legislation; attempt to access data from other workspaces or exploit isolation vulnerabilities; reverse engineer, decompile, or disassemble any component of the Platform; send, store, or process malicious, illegal, defamatory content or content that violates third-party rights; intentionally exceed contracted plan limits or circumvent quota mechanisms; use the API for denial of service attacks, unauthorized data mining, or scraping; share access credentials or API keys with unauthorized third parties; use the Platform to store regulated data (health, financial) without proper contractual and regulatory safeguards. The User is exclusively responsible for all content stored in their account and workspaces, including memories, metadata, and data sent via API, SDK, or MCP Server. Memsolus does not proactively monitor stored content, but reserves the right to remove content or suspend accounts upon becoming aware of violations of these terms or applicable legislation. Violation of these rules may result in immediate suspension or termination of the account, without the right to a refund.

6. Data Processing by Artificial Intelligence

The User acknowledges and agrees that the content of their memories will be processed by artificial intelligence models to provide semantic search, automatic categorization, entity extraction, and vector embedding generation functionalities. The selection and management of AI providers is Memsolus's sole responsibility, using multiple third-party providers with redundancy to ensure service availability and quality. The User does not select or configure the AI providers used by the Platform. AI providers act as data processors under Memsolus's instructions and are contractually obligated not to retain or use your data for model training. Memsolus is responsible for the adequacy of the AI providers it selects for service delivery.

7. Webhooks and Integrations

The Platform allows configuring webhooks for event notification to external endpoints defined by the User. The User is exclusively responsible for the security, availability, and compliance of destination endpoints. Each webhook payload is digitally signed to ensure integrity and authenticity. Webhook endpoints must use HTTPS — insecure URLs or those pointing to internal addresses are automatically blocked. For each event, the Platform will make up to 7 delivery attempts with progressive intervals. Successful deliveries are processed only once — there is no resend after receipt confirmation by the destination endpoint. If none of the 7 attempts receives a successful response, the webhook will be automatically disabled and no further notifications will be sent until the User manually reactivates it. Memsolus is not responsible for data processing performed by third-party systems that receive notifications via webhook.

8. Intellectual Property

All content, design, source code, brand, and technology of Memsolus are protected by copyright and intellectual property rights, under the terms of Law No. 9,610/1998 and Law No. 9,279/1996. The User retains full ownership of their personal data, memories, and content stored on the Platform. By using the service, the User grants Memsolus a limited, non-exclusive, and revocable license to process their data exclusively for the purpose of providing the contracted service, including embedding generation, vector indexing, and semantic search.

9. Limitation of Liability

The Platform is provided "as is" and "as available". To the maximum extent permitted by applicable law: Memsolus does not guarantee that the service will be uninterrupted, error-free, or that it will meet the User's specific requirements; Memsolus's total liability is limited to the amount actually paid by the User in the 12 months preceding the event giving rise to the claim; Memsolus is not responsible for indirect, incidental, consequential damages, lost profits, or data loss arising from the use or inability to use the Platform; Memsolus will make reasonable efforts to ensure the quality of the third-party AI providers used, but does not guarantee specific results from artificial intelligence processing. Although Memsolus maintains encrypted backups as a security measure, it does not guarantee full data recovery in all scenarios — the User is encouraged to use the export functionality to maintain their own backup copies of critical data.

10. Service Availability

We strive to keep the Platform continuously available, however interruptions may occur for scheduled maintenance or circumstances beyond our control, including infrastructure provider failures, force majeure events, or cyber attacks. Scheduled maintenance will be communicated in advance whenever possible. Specific service level conditions (SLA) may be individually negotiated for Violet Advanced plans through a specific contract.

11. Termination

The User may close their account at any time through account settings. Before closing, we recommend exporting your data through the functionality available on the Platform. Memsolus reserves the right to suspend or terminate accounts that violate these terms, with prior notification, except in cases of serious violation or risk to the security of the Platform or other users, in which case suspension may be immediate. After termination, your data will be handled according to the Data Retention Policy described in the Privacy Policy. Contractual payment obligations prior to termination remain enforceable.

12. General Provisions and Jurisdiction

These terms are governed by the laws of the Federative Republic of Brazil. Any dispute shall be submitted to the courts of Goiânia/GO, to the exclusion of any other, however privileged it may be. If any provision of these terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect. Tolerance regarding non-compliance with any obligation shall not constitute waiver or novation. These terms, together with the Privacy Policy, constitute the entire agreement between the User and Memsolus.
